PUBLIC CONTRACT (OFFER) FOR THE PROVISION OF SERVICES

This Public Contract (hereinafter referred to as the "Contract" or "Offer") is an official proposal by the Individual Entrepreneur Kodintsev Andrii Oleksandrovych (hereinafter referred to as the "Contractor"), addressed to any individual or legal entity (hereinafter referred to as the "User" or "Master"), to conclude a contract for access to the ClientSync online booking service on the terms set out below.

1. GENERAL PROVISIONS

• 1.1. Registration in the ClientSync Telegram bot or use of the service's web interface constitutes full and unconditional acceptance of the terms of this Offer.
• 1.2. The Service is intended for individuals who have reached the age of 18. Use of the service by persons under 18 is permitted strictly with the consent of parents or legal guardians.

2. SUBJECT OF THE CONTRACT

• 2.1. The Contractor grants the User (Master) access to the ClientSync software (SaaS solution) (hereinafter referred to as the "Service") to automate client bookings, manage calendars, and send notifications.
• 2.2. The Service is exclusively an IT tool. The Contractor is not a party to any agreements concluded between the Master and their clients.
• 2.3. All intellectual property rights to the Service (source code, design, logos, content) belong to the Contractor. The User is granted only a limited right to use (license) under the terms of this Offer.

3. RIGHTS AND OBLIGATIONS OF THE PARTIES

• 3.1. The User has the right to use the functionality of the Service according to the selected plan and contact customer support.
• 3.2. The User obligates not to use the Service for spamming, fraud, or illegal activities, and independently bear responsibility for collecting, processing, and storing their clients' personal data.
• 3.3. The Contractor has the right to suspend access to the Service in case of violation of the Offer terms and conduct technical maintenance.

4. FINANCIAL TERMS AND TARIFF PLANS

• 4.1. The use of the Service is provided on a paid or free (trial period) basis according to the pricing plans specified on the website.
• 4.2. All settlements (payments for services, prepayments, etc.) between the Master and their clients are carried out directly between them. The Contractor does not participate in these settlements, is not a tax agent, and is not responsible for financial disputes.
• 4.3. Service costs are set in the national currency of Ukraine — Hryvnia (UAH). The Contractor is a single tax payer (Group 3); taxes are included in the subscription price.
• 4.4. The Provider reserves the right to change the subscription fee by notifying the User at least 30 days prior to the introduction of the new rates, by publishing the updated information on the website or via the Telegram bot.
• 4.5. Tariff Plans: The Contractor offers various tariff plans (e.g., Base, Pro). The available functionality (e.g., multi-booking cart, smart waitlist) depends on the selected plan. In the event of a User downgrading to a lower tier plan, access to premium features will automatically cease from the moment the new plan is activated.
• 4.6. Referral Program: The Contractor reserves the right to credit bonus subscription days to Masters for attracting new users. These bonuses are not subject to monetary compensation, exchange for fiat currency, or transfer to other users.

5. PAYMENT, AUTO-RENEWAL, AND REFUND POLICY

• 5.1. Access to the extended functionality of the Service (ClientSync) is provided on a paid subscription basis. Payment is made on a 100% prepayment basis for the selected billing period (e.g., 1 month).
• 5.2. Auto-renewal: By paying for a subscription, the User agrees to the storage of the payment token and automatic recurring deductions for each subsequent billing period.
• 5.3. Subscription Cancellation: The User has the right to cancel the automatic renewal of the subscription at any time via the settings in the Telegram bot or by contacting support. Canceling the subscription stops automatic deductions in the next billing period.
• 5.4. Refund Policy: In accordance with global SaaS standards, refunds for the current (already paid) billing period are not provided. Upon cancellation of the subscription, access to the paid functionality of the Service is retained by the User until the end of the fully paid period.

6. LIMITATION OF LIABILITY

• 6.1. The Service is provided on an "as is" basis. The Contractor does not guarantee that the Service will meet all the User's expectations.
• 6.2. The Contractor is not responsible for failures in the Telegram messenger, the Internet, or the User's devices.
• 6.3. The Contractor is not responsible for the Master's lost profits due to client no-shows or canceled bookings.
• 6.4. The Contractor is not responsible for the performance of third-party platforms (Telegram, payment systems) or for the inability to access the Service due to the blocking of these platforms by government authorities.

8. FINAL PROVISIONS

• 8.1. This Contract is governed by the laws of Ukraine. All disputes shall be resolved through negotiations, and if no agreement is reached — in the courts of Ukraine at the place of the Contractor's registration.
